SYLLA & PARTNERS advised the Government of the Republic of Guinea in negotiating a mining concession convention with Alufer Mining SA for the implementation of the Bel-Air project. The total investment amount is 185 million US dollars.
Alufer Mining SA is a 100% owned subsidiary of Alufer Mining Ltd, which is an independent bauxite producer. The company has developed the Bel-Air project in the Boké region, an area particularly rich in high-quality bauxite deposits. As an independent producer, Alufer Mining focuses exclusively on bauxite mining and marketing, without vertical integration into alumina or aluminium processing.
The Bel-Air project comprises several essential components: bauxite mining operations enabling ore extraction, construction of a 25-kilometer mining road connecting mining sites to port facilities, facilitating efficient transportation of production, as well as development of modern port facilities enabling loading of bauxite onto ships for export to international markets.
The investment of 185 million US dollars reflects Alufer Mining’s commitment to developing a quality mining operation, including not only mining equipment but also the transport and export infrastructure essential to the project’s commercial viability.
Our firm provided comprehensive legal assistance to the Government of Guinea throughout the negotiation process for this mining concession convention, mobilizing our expertise in mining law, infrastructure and tax law.
The services performed by SYLLA & PARTNERS included negotiation and structuring of the mining concession convention defining the rights and obligations of Alufer Mining SA vis-à-vis the Guinean State, advice on technical, legal and tax aspects of the Bel-Air project, including regimes applicable to mining operations and associated infrastructure, active participation in negotiation sessions with Alufer Mining representatives, as well as preparation of strategic memos to guide government negotiators in defending the State’s interests.
This type of assignment illustrates our ability to support the Government of Guinea in negotiating mining conventions with independent bauxite producers, ensuring the protection of the State’s interests while creating an attractive framework for the development of the national mining sector.
The SYLLA & PARTNERS team was led by Mohamed Sidiki SYLLA and Pierre Kodjo AVODE, partners, assisted by Madigbè KABA.
