SYLLA & PARTNERS advised China Water and Electric Corporation (CWE), EPC (Engineering, Procurement and Construction) contractor for the construction of the Kaléta hydroelectric dam, in structuring the granting by the Government of Guinea to CWE of an operation and maintenance contract for said dam, the power plant and the transmission network.
The Kaléta hydroelectric dam, with a capacity of 240 megawatts, constitutes one of Guinea’s most important energy infrastructure facilities. Built by CWE as EPC contractor, this dam plays an essential role in improving the country’s energy supply and access to electricity for Guinean populations.
Following completion of the dam’s construction, the Government of Guinea and CWE engaged in discussions to establish an operation and maintenance contract enabling CWE, which possesses in-depth expertise of the facility it built, to continue ensuring optimal operation of the dam, the power plant and associated transmission network.
An operation and maintenance contract for an energy infrastructure of this magnitude requires complex legal and financial structuring, clearly defining the operator’s performance obligations, required maintenance standards, remuneration mechanisms, respective responsibilities of the operator and government, as well as dispute resolution mechanisms.
Our firm provided comprehensive legal expertise to CWE in structuring and negotiating this operation and maintenance contract, mobilizing our in-depth knowledge of the Guinean energy sector and our expertise in infrastructure and project finance.
