SYLLA & PARTNERS assisted Vivo Energy Holding B.V in connection with Project Beige, which involved the admission of Vivo Energy group shares to the official list of the Financial Conduct Authority and to the main market for listed securities of the London Stock Exchange plc. Our firm was appointed by Vivo Energy Holding B.V. to undertake a legal due diligence mission on its Guinean subsidiaries.
Project Beige represented a major fundraising and initial public offering operation for the Vivo Energy group, distributor and retailer of Shell brand petroleum products in 16 African countries. This listing operation on the main market of the London Stock Exchange required comprehensive legal due diligence on all of the group’s subsidiaries across Africa, in order to provide potential investors and regulatory authorities with a clear and transparent view of the group’s assets, operations and legal risks.
In Guinea, the Vivo Energy group operates through two main entities: Vivo Energy SA, which manages petroleum product distribution and retail activities, and Vivo Mining SARL, which focuses on activities related to the Guinean mining sector, particularly the supply of fuels and lubricants to mining companies.
Our firm prepared a due diligence report concerning the subsidiaries, associated companies and operations of Vivo Energy SA and Vivo Mining SARL in Guinea as well as on the legal environment applicable to the hydrocarbons sector.
