SYLLA & PARTNERS assisted the Government of the Republic of Guinea in negotiating a mining convention with Bauxite de Kimbo SA on the Kimbo project. The total investment amount is estimated at 3.429 billion US dollars.

The Kimbo project constitutes one of the most ambitious mining and industrial projects ever envisioned in Guinea, combining mining operations, complete industrial transformation of bauxite into alumina and then into aluminium, and development of major transport infrastructure. This project illustrates the Government of Guinea’s commitment to promoting local transformation of mineral resources to create maximum added value for the national economy.

The project comprises several integrated components: mining operations with a capacity of 10 million tonnes of bauxite per year, construction of an alumina refinery with a capacity of 3 million tonnes per year enabling the transformation of bauxite into alumina, construction of an aluminium smelter enabling the transformation of alumina into metallic aluminium, construction of a 90-kilometer mining road connecting the mining sites to industrial and port facilities, as well as the development of modern port facilities for export of production.

The unique feature of this project lies in its fully integrated nature, covering the entire value chain from bauxite extraction to metallic aluminium production. This approach maximizes value created locally, generates skilled jobs and develops national industrial expertise in the mineral processing sector.

Our firm provided comprehensive legal assistance to the Government of Guinea throughout this complex negotiation process, mobilizing our expertise in mining law, infrastructure and tax law.

The services performed by SYLLA & PARTNERS included the legal structuring of this multi-component integrated project, negotiation and drafting of the mining convention covering all aspects of the project (mining operations, industrial processing, infrastructure), preparation of periodic memos analyzing strategic issues and positions to be defended, as well as active participation in negotiation sessions with representatives of Bauxite de Kimbo SA and Bauxite de Kimbo Ltd.

This type of project illustrates our firm’s ability to support the Government of Guinea in negotiating very large-scale multi-component mining and industrial projects, ensuring the protection of the State’s interests while creating an attractive framework for transformational investments.
