SYLLA & PARTNERS assisted the Government of the Republic of Guinea in negotiating an agreement relating to the change of control of Alliance Mining Commodities SA (AMC) in favor of Chinese company JGT. The total cost of the project amounts to 985 million US dollars.
Alliance Mining Commodities SA holds a mining concession for the exploitation of a bauxite deposit in the Gaoual prefecture, Republic of Guinea. The company was previously held by AMC Ltd, and the proposed transaction consisted of a change of shareholding control in favor of Chinese investor JGT.
In accordance with the provisions of the Guinean Mining Code, any change of control of a mining title holder is subject to prior approval by the Guinean authorities. This regulatory requirement aims to ensure that the new shareholders have the necessary technical and financial capabilities to develop mining projects and meet the commitments made to the Guinean State.
Our firm provided comprehensive legal assistance to the Government of Guinea throughout this change of control process, in mining law, corporate law and tax law.
The services performed by SYLLA & PARTNERS as counsel to the Government of Guinea included the review of the draft share transfer agreement and prior verification of compliance with the provisions of the Mining Code regarding the change of control of a mining title holder. We also prepared periodic memos presenting to the Government’s chief negotiators the strengths and weaknesses of the positions being defended, and actively participated in the negotiation sessions for the agreement with representatives of JGT and AMC.
