SYLLA & PARTNERS advised the Government of the Republic of Guinea in negotiating a mining convention between the Guinean State, EGEC Mining SA and Afrimines for a gold project with an initial annual production capacity of 15,500 ounces of gold in the Mandiana prefecture.
The Mandiana gold project represents an important opportunity for the development of the gold industry in Guinea, a resource that has historically played a significant role in the country’s economy. The Mandiana prefecture, located in the administrative region of Kankan in Upper Guinea, is recognized for its gold potential and hosts several mining projects under development or in operation.
Negotiating a mining convention for a gold project requires a specific approach taking into account the technical and economic particularities of gold mining, particularly regarding taxation, mining royalties, environmental and social obligations, as well as value-sharing mechanisms between the State and investors.
Our firm provided comprehensive legal assistance to the Government of Guinea throughout this negotiation process, in mining law, tax law and corporate law.
The services performed by SYLLA & PARTNERS as counsel to the Government of Guinea included the drafting and review of the draft mining convention, ensuring that the provisions of the Guinean Mining Code were respected and that the State’s interests were protected. We also prepared periodic memos presenting to the Government’s chief negotiators the strengths and weaknesses of the positions being defended, and actively participated in the mining convention negotiation sessions with representatives of EGEC Mining SA and Afrimines.
This type of assignment illustrates our firm’s expertise in supporting Guinean authorities during the negotiation of mining conventions for different types of mineral substances, including precious metals such as gold.
The SYLLA & PARTNERS team was led by Mohamed Sidiki SYLLA, assisted by Madigbè KABA, Watta KAMANO and Alpha Toubab MILLIMONO.
