In December 2020, Sylla & Partners, a leading business law firm in Guinea, assisted the National Agency for the Development of Mining Infrastructure (ANAIM) in connection with the negotiation and conclusion of financing agreements with Afreximbank, acting as lender, relating to the acquisition from the Piccini Group of an industrial reinforced concrete production facility located in Forécariah, Republic of Guinea.
This transaction formed part of a broader strategy aimed at strengthening national industrial capacity and required in-depth expertise in project finance, contractual structuring, and banking and insurance law .
As part of this mandate, Sylla & Partners acted as legal adviser to ANAIM and provided comprehensive assistance, including the improvement of the project’s business plan and the structuring of its economic and financial model. The firm also reviewed the draft contracts prepared by the lender, including term sheets, the loan agreement, security agreements, escrow account agreements, and repayment mechanism agreements.
Sylla & Partners further issued comments and proposed amendments to the contractual documentation, assisted in the negotiation and execution of the financing agreements with the lender, and delivered a formal legal opinion in relation to the transaction.
The assignment also involved corporate structuring matters governed by Guinean corporate law , as well as tax considerations applicable to the investment and operation of the industrial facility under Guinean tax law.
