In March 2024, Sylla & Partners, a leading business law firm in Guinea, acted as local legal counsel to China Export Import Bank (China Exim Bank) in connection with the financing of Blocks 3 and 4 of the Simandou project, developed by Winning Consortium Simandou SA.

This strategic transaction relates to the financing of the mining, railway, and port infrastructure associated with Blocks 3 and 4 of the Simandou project and required extensive legal expertise in mining law, project finance, and investment regulation in Guinea.

As part of this mandate, Sylla & Partners provided legal assistance including the conduct of legal due diligence on the project companies, covering the mining, railway, and port entities, the verification of compliance of all permits and authorisations required under Guinean law, the review of applicable agreements and conventions, and the review of transaction documentation, including security arrangements. The firm also advised on all legal matters governed by Guinean law relevant to the project.

The assignment further involved key issues of corporate structuring and governance under Guinean corporate law, as well as tax considerations related to the financing and operation of the infrastructure under Guinean tax law.
