In July 2024, Sylla & Partners , a leading business law firm in Guinea, acted as local legal counsel to China Development Bank in connection with the financing of a river port infrastructure project in the Republic of Guinea.

This transaction formed part of Guinea’s broader strategy to strengthen transport and logistics infrastructure and required strong expertise in infrastructure financing, regulatory compliance, and public-sector projects. Sylla & Partners relied on its experience in maritime law (https://syllapartners.com/en/maritime-law/) and banking and insurance law to ensure the legal security of the transaction.

As part of this mandate, Sylla & Partners provided legal assistance including the conduct of a legal due diligence on the borrower, the identification and review of all permits, licences, and authorisations required for the construction and operation of the port infrastructure, and the review of the financing agreement and related transaction documents. The firm also advised on all matters of Guinean law relevant to the project.

The mandate further involved issues of corporate structuring and regulatory compliance under Guinean corporate law, as well as tax considerations related to the financing and future operation of the port infrastructure under Guinean tax law.

Through this transaction, Sylla & Partners confirms its ability to assist international financial institutions in the structuring and implementation of major infrastructure projects in Guinea, combining local legal expertise with international transaction standards.
